1. Acceptance of Terms

By accessing or using Zoldea ("the Platform"), operated at zoldea.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform.

We reserve the right to update these Terms at any time. Continued use after changes constitutes acceptance of the revised Terms.

2. Description of Service

Zoldea is a collaborative problem-solving platform that enables users to create workspaces, upload and manage research artifacts (datasets, code, notebooks, documents), run experiments, collaborate with team members, and integrate with external services.

3. User Accounts

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the security of your account credentials.
  • You are responsible for all activity that occurs under your account.
  • You must be at least 13 years of age to use the Platform.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

4. User Content

4.1 Ownership

You retain ownership of all content you upload, create, or share on Zoldea ("User Content"). By submitting User Content, you grant Zoldea a non-exclusive, worldwide, royalty-free license to store, display, and distribute your content as necessary to operate the Platform.

4.2 Responsibility

You are solely responsible for your User Content. You represent that you have the right to upload and share all content you submit, and that your content does not infringe any third-party rights.

4.3 Prohibited Content

You may not upload or share content that:

  • Is illegal, harmful, threatening, abusive, harassing, or defamatory
  • Infringes on intellectual property rights of others
  • Contains malware, viruses, or malicious code
  • Violates any applicable law or regulation
  • Impersonates another person or entity

5. Workspaces and Collaboration

  • Public Workspaces: Content in public workspaces is visible to all users. Workspace owners control edit access.
  • Private Workspaces: Content is visible only to invited members.
  • Workspace Owners: Have full control over workspace settings, membership, and content management.
  • Members: Must comply with workspace-specific rules set by the owner.

6. Third-Party Integrations

Zoldea allows you to connect third-party services including GitHub, GitLab, Google Drive, Notion, Dropbox, OneDrive, Box, Slack, Kaggle, Microsoft Teams, and ORCID.

  • You authorize Zoldea to access your external accounts as needed to provide integration features.
  • You may disconnect any integration at any time through Settings.
  • Zoldea is not responsible for the availability, accuracy, or policies of third-party services.
  • Your use of third-party services is subject to their respective terms of service.

7. Acceptable Use

You agree not to:

  • Use the Platform for any unlawful purpose
  • Attempt to gain unauthorized access to other users' accounts or data
  • Interfere with or disrupt the Platform's infrastructure
  • Scrape, crawl, or automated-harvest data from the Platform without permission
  • Use the Platform to distribute spam or unsolicited communications
  • Reverse engineer, decompile, or disassemble any part of the Platform

8. Intellectual Property

The Zoldea platform, including its design, code, logos, and documentation, is owned by Zoldea and protected by intellectual property laws. These Terms do not grant you any right to use Zoldea's trademarks, logos, or branding without prior written consent.

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Platform will be uninterrupted, error-free, or completely secure.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZOLDEA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM.

11. Indemnification

You agree to indemnify and hold harmless Zoldea, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising out of your use of the Platform or violation of these Terms.

12. Termination

We may terminate or suspend your access to the Platform at any time, with or without cause, with or without notice. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination shall survive.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.
